1. Since the date of the Reporting Person's last Form 4, he transferred 23,917 shares of the Issuer's Class A Common Stock, par value $0.01, pursuant to a domestic relations order, which transaction is exempt from Section 16 pursuant to Rule 16a-12 under the Securities Exchange Act of 1934, as amended. The Reporting Person no longer reports as beneficially owned any securities owned by his ex-spouse.
