Explanation of Responses:

1. Represents 6,957 Deferred Stock Units issued to the Reporting Person as an annual equity grant from the Issuer under the Issuer's 2014 Incentive Plan. Each Deferred Stock Unit is fully vested and convertible into 1 share of the Issuer's common stock upon the earlier to occur of the Reporting Person's separation from service or a change of control of the Issuer. The Reporting Person also owns 9,332 shares of the Issuer's common stock.
