Explanation of Responses:

1. Represents the sale of shares to cover tax withholding obligations associated with the vesting and settlement of restricted stock units.

2. The purpose of this amendment is to correct the price of securities disposed of that was incorrectly reported on the reporting person's original Form 4.

3. Includes an aggregate of 593,667 shares of common stock issuable pursuant to restricted stock units that have not vested.
