Explanation of Responses:

1. The shares subject to the option will vest and become exercisable as to 20% of the total number of shares subject to the option on the first anniversary of the grant date, 20% on the second anniversary of the grant date, 20% on the third anniversary of the grant date, 20% on the fourth anniversary of the grant date, and the remaining 20% on the fifth anniversary of the grant date, assuming continuous service as a director until each such vesting date.
