Remarks:

In connection with the consummation of the initial business combination of Prime Number Acquisition Corp. ("PNAC") pursuant to certain business combination agreement by and among PNAC, noco-noco Inc. (f/k/a Prime Number Holding Ltd.), a Cayman Islands exempted company ("PubCo"), Prime Number Merger Sub Inc., a Delaware corporation and PubCo subsidiary, Prime Number New Sub Pte. Ltd., a Singapore private company and PubCo subsidiary, noco-noco Pte. Ltd. ("noco-noco"), and certain shareholders of noco-noco, dated December 29, 2023. This "Exit" Form 4 is voluntarily filed to report that the Reporting Person is no longer serving in the role as PNAC's CEO, chairman and director effectively or holding more than 10% of issued and outstanding shares of the Issuer after August 25, 2023, and is therefore no longer subject to Section 16 Reporting.
