Explanation of Responses:

1. Reflects restricted shares of common stock granted by KULR Technology Group, Inc. (the "Company) to the reporting person, on July 12, 2023. These shares vest in four equal quarterly installments, with the first annual vest to occur on July 12, 2024, subject to Dr. Walker's continued services to the Company. The beneficial ownership set forth in Column 5 includes the 350,000 shares underlying the grant described above and includes 150,000 shares underlying the RSA grants previously issued to Dr. Walker.
