Comprised of a restricted stock award granted under the Issuer's 2015 Stock Incentive Plan (the "Plan") consisting of 100,000 restricted shares of Common Stock all of which will vest if on or before March 4, 2032, the Fair Market Value (as defined in the Plan) of the Common Stock shall have equaled or exceeded $50.00 per share for twenty consecutive trading days.
