Explanation of Responses:

1. Granted pursuant to the Issuer's Long-Term Incentive Plan.

2. Converted from British Pounds Sterling to U.S. Dollars using currency ratio of 1.00 British Pound Sterling = 1.41 U.S. Dollars as of February 22, 2021.

3. These share options will vest in three equal annual installments beginning on February 22, 2022 and be automatically exercised upon vesting.

4. Subject to accelerated vesting in connection with the closing of the transactions contemplated by the Transaction Agreement, dated as of February 3, 2021, by and among Jazz Pharmaceuticals UK Holdings Limited, Jazz Pharmaceuticals Public Limited Company and GW Pharmaceuticals plc.
