Explanation of Responses:

1. Stock option becomes exercisable in three equal annual installments of the first three anniversary dates of the grant.

2. This stock option was granted on January 2, 2025, with the exercise price set based on the closing price of the underlying common stock as of that date. The stock option was granted contingent upon stockholder approval of the GeoVax Labs, Inc. 2025 Stock Incentive Plan. Such approval occurred on June 5, 2025, so that is the date upon which the stock option is deemed granted pursuant to SEC reporting guidance.
