Explanation of Responses:

1. This reported transaction may constitute short-swing profits under Section 16(b) of the Exchange Act in relation to certain previously reported transactions. The reporting person has calculated profit realized from the transaction and has disgorged to the Issuer the full amount of any recoverable profits.

2. The shares were purchased and are held by the reporting person's daughter, who may be deemed to share the reporting person's household. The reporting person disclaims beneficial ownership of the shares held by his daughter, and this report should not be deemed an admission that the reporting person is the beneficial owner of his daughter's shares for purposes of Section 16 or for any other purpose.
