Explanation of Responses:

1. Shares acquired are shares of restricted stock awarded under the Issuer's 2014 Stock Incentive Plan (the "Plan"). The shares of restricted stock will vest in full on May 1, 2024, provided that the Reporting Person remains employed by Issuer from the date of grant through the vesting date.

2. The option (the "Option"), awarded under the Plan, shall vest and become exercisable as to 25% of the underlying shares on May 1, 2024, and the remaining shares underlying the Option shall vest and become exercisable in equal quarterly installments thereafter, until fully vested and exercisable on the fourth anniversary of the grant date, provided that the Reporting Person remains employed by Issuer from the date of grant through each applicable vesting date.
