Explanation of Responses:

1. Shareholders are advised of the following information relating to the settlement of the second and final tranche of retention shares awarded under the MiX Telematics Limited Long-Term Incentive Plan ("LTIP"), as disclosed in the form 8K announcement published on June 19, 2020. Charles Tasker's intention is to sell approximately 100,000 shares issued to him in respect of these retention shares (to cover the immediate tax obligation arising from the settlement of the retention shares). At the conclusion of this process, Charles Tasker expects to have increased his shareholding in MiX Telematics by 100,000 shares bringing his total shareholding to approximately 330,670 American Depository Shares (equivalent to 8,266,744 ordinary shares).

2. Each Restricted Stock Unit represents a contingent right to receive one Ordinary Share of Issuer.

3. The Restricted Stock Units shall vest in two installments. Subject to continued employment, the first 50% vested on June 1, 2022 and the second 50% shall vest on June 1, 2023. Vested shares will be delivered upon settlement
