Explanation of Responses:

These shares represent an award of restricted common stock of Issuer awarded under the National Bank Holdings Corporation 2023 Omnibus Incentive Plan and will vest ratably on April 28, 2027, April 28, 2028, and April 28, 2029, subject to the associate's continued service through the applicable vesting date.

2. This transaction represents a grant of restricted stock by the Issuer. Therefore, no consideration other than the value of services rendered was paid.
