1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of Issuer's common stock.

2. Pursuant to the Merger Agreement, at the Effective Time, the restricted stock units were replaced with a cash incentive program, which preserves the compensation elements and vesting terms of the restricted stock units.
