Explanation of Responses:

1. Pursuant to the terms of the Director Compensation Schedule with equity issuances adopted by the Board of Directors of the Company, dated October 24, 2022 (the "Effective Date"), Mr. Staggs was granted stock options to purchase up to 100,000 shares of the Company's common stock, par value $0.001 per share, at an exercise price of $2.50 per share (the "Stock Options"). The Stock Options shall vest immediately on the Effective Date.
