Explanation of Responses:

1. The option was granted pursuant to a consulting agreement effective December 8, 2023 (the "Effective Date"). The option will vest as to 1/12 of the underlying shares of common stock on the first day of each month beginning on January 1, 2024, with the balance of then-unvested shares to vest one year after the Effective Date.
