Explanation of Responses:

1. This option award is contingent upon receiving stockholder approval of the amendment and/or restatement of the 2016 Equity Incentive Plan to increase the number of shares available for issuance thereunder.

2. The stock option vests and becomes exercisable in 12 equal monthly installments beginning on July 22, 2023, or on the date of the next annual meeting of stockholders, if earlier, subject to the continuing service of the Reporting Person on each vesting date.
