Explanation of Responses:

1. Represents shares of Class A Common Stock issued upon settlement of fully vested restricted stock units ("RSUs") awarded to the Reporting Person on April 5, 2026. The RSUs were granted to the Reporting Person in lieu of quarterly cash retainers, at the election of the Reporting Person, pursuant to the Issuer's Non-Employee Director Compensation Program.
