Explanation of Responses:

1. Fully vested.

2. The option was canceled by mutual agreement of the reporting person and the issuer pursuant to the terms of the Retirement and Transition Agreement, dated September 28, 2023, by and between the reporting person and the issuer, a copy of which was filed on November 14, 2023 as Exhibit 10.1 to the issuer's Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2023.

3. This option vested as to 25% of the shares on February 28, 2021, with the remainder vesting in equal monthly installments thereafter through February 28, 2024.

4. This option vested as to 25% of the shares on February 28, 2022, with the remainder vesting in equal monthly installments thereafter through February 28, 2025.

Remarks:

Amounts reported in this Form 4 reflect the 1-for-10 reverse stock split effected by the issuer on September 16, 2022.
