Each deferred share unit ("DSU") represents a right to receive one share of the issuer's common stock (or, at the election of the reporting person and subject to the approval of the Plan Administrator (as defined in the issuer's 2020 Stock Incentive Plan (the "Plan")), the cash value thereof) on the settlement date.

2. The DSUs vested in full upon grant and will be settled on the reporting person's Termination Date or Separation from Service, as applicable (each, as defined in the Plan).

3. Does not include 9,678 DSUs that were previously granted to the reporting person with different vesting terms.
