1. Represents the shares withheld related to the vesting of a restricted stock unit installment, awarded to the reporting person on April 1, 2024.

2. The disposition reported in this Form 4 was done pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on 04/29/2025. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $39.77 - $39.155.
