The units will vest with one-third of such units vesting on each of the first, second and third anniversaries of the November 1, 2023 grant date (each an "RSU Vesting Date") subject to the reporting person's continued employment with the issuer on the applicable RSU Vesting Date in accordance with the terms of the applicable award agreement.
