Explanation of Responses:

1. Received pursuant the Agreement and Plan of Merger, dated as of June 21, 2021, as amended, by and among CITIC Capital Acquisition Corp. ("CCAC"), CITIC Capital Merger Sub Inc. ("Merger Sub") and Quanergy Systems, Inc., a Delaware corporation ("Legacy Quanergy") pursuant to which Merger Sub merged with and into Legacy Quanergy (the "Business Combination"), whereupon the separate existence of Merger Sub ceased and Legacy Quanergy was the surviving company and wholly owned subsidiary of CCAC which subsequently changed its name to Quanergy Systems, Inc. (the "Issuer").

2. The shares shall vest in a series of forty-eight (48) successive equal monthly installments each month from January 31, 2020(the"Vesting Calculation Date"), such that the shares will be fully vested on the four (4) year anniversary of the Vesting Calculation Date. All vesting ceases upon termination of service

3. Received in connection with Business Combination in exchange for option to acquire 50,000 shares of common stock of Legacy Quanergy for $49.43 per share.

4. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock.

5. One-twelfth (I/12th) vests quarterly from January 13, 2020 provided Participant has not terminated Service on each applicable date (February 15, May 15, August 15, and November 15).

6. In connection with Business Combination, this Legacy Quanergy's outstanding RSU award was converted into an RSU award denominated in shares of Issuer's common stock. The unvested portion of the outstanding RSU award will continue to vest as described in footnote 6 subject to the reporting person's continued service with the Issuer through the applicable vesting date.
