Represents a grant of Restricted Stock Units (RSUs) under the Issuer's 2019 Omnibus Incentive Plan, for which 25% will vest on each of March 20, 2028, June 20, 2028, September 20, 2028, and December 20, 2028, subject to continued service through each such date. Each RSU represents the Reporting Person's right to receive one share of Class A common stock, par value $0.00001, subject to vesting.
