Explanation of Responses:

1. Disposed of pursuant to the Agreement and Plan of Reorganization, dated as of September 23, 2024, by and among TowneBank, Cardinal Sub, Inc., Village Bank and the issuer, pursuant to which the issuer was merged with and into TowneBank, effective April 1, 2025, and each issued and outstanding share of common stock of the issuer was converted into the right to receive $80.25 in cash. The reporting person no longer beneficially owns, directly or indirectly, any shares of common stock of the issuer.
