Explanation of Responses:

1. Pursuant to the Agreement and Plan of Merger by and among Cardiovascular Systems, Inc., a Delaware corporation, Abbott Laboratories, an Illinois corporation, and Cobra Acquisition Co., a Delaware corporation (the "Merger Agreement"), each share of common stock converted pursuant to the Merger Agreement into the right to receive $20.00 in cash per share, without interest and less any required withholding taxes.

2. Pursuant to the Merger Agreement, each unvested restricted stock unit became fully vested immediately prior to the effective time of the merger. Restricted stock units were then cancelled as of the effective time of the merger in exchange for the right to receive a cash payment equal to $20.00 multiplied by the number of restricted stock units, without interest and less any required withholding of taxes.
