Remarks:

In connection with the consummation of the transactions contemplated by the Agreement and Plan of Merger, dated February 14, 2022, by and among Software Acquisition Group Inc. III ("SWAG"), Nuevo Merger Sub, Inc., and Branded Online, Inc. (dba Nogin) (the transactions contemplated thereby, the "Business Combination"), SWAG changed its name to Nogin, Inc. ("Nogin") and as a result of the Business Combination, Andrew K. Nikou resigned his position on Nogin's Board of Directors and is no longer subject to Section 16. This Form 4 serves as his exit filing.
