Explanation of Responses:

1. On January 19, 2024, the Reporting Person was awarded a stock bonus of 33,768 shares of common stock pursuant to the Company's 2021 Omnibus Equity Incentive Plan (the "Plan"). These shares were fully vested upon issuance to the Reporting Person, and expire on January 19, 2034.

2. On January 19, 2024, the Reporting Person received a nonqualified stock option grant for a total of 125,132 shares of common stock vesting over four years at a rate of 1/48 per month with no cliff, beginning vesting on February 1, 2024. The option will become fully vested and exercisable on February 1, 2028, and expires on January, 19, 2034.
