Explanation of Responses:

1. On July 22, 2021, the Reporting Person filed a Form 4 that inadvertently stated the incorrect vesting date of December 10, 2021, rather than September 10, 2021, for the reported security. The Reporting Person was granted restricted stock units ("RSUs") which represent a contingent right to receive one share of Common Stock for each RSU. The RSUs vest on September 10, 2021, provided that the Reporting Person remains in continuous service through such vesting date. Unless otherwise provided, on the vesting date shares of Common Stock will automatically be sold to satisfy the Reporting Person's tax withholding obligations in a non-discretionary transaction.
