1. As adjusted to give effect to Empire's 1-for-4 reverse common stock split which became effective on March 7, 2022.

2. Assigned to personnel working on issuer matters to incentivize such personnel.

3. On July 1, 2022, the reporting person filed a Form 4 which inadvertently reported that a warrant to purchase 9,000 shares was disposed of. In fact, as reported in this amendment, such warrant was for 11,250 shares.
