Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. The shares underlying the derivative securities shall vest fully on the first anniversary of the date of grant.

3. Each non-employee director of the Issuer is entitled to receive an annual grant of restricted stock units ("RSUs") with a value of $75,000 on the date of grant, such grants to be effective as of the date of the 2021 annual meeting of stockholders, and annually thereafter. The closing price of the Issuer's common stock on the date of grant was $0.50.
