(the "Company") pursuant to the Company's exchange offer. The material terms of the New Options are described in the Tender Offer Statement on Schedule TO filed by the Company with the Securities and Exchange Commission on March 2, 2026, as amended. Each New Option has the same vesting schedule as the corresponding Eligible Option.
