Explanation of Responses:

1. Each Restricted Stock Unit (RSU) represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs shall vest in three (3) substantially equal annual installments beginning on November 1, 2024, subject to the Reporting Person's continued service to the Issuer through each such vesting date.

2. The Stock Option shall vest and become exercisable in three (3) substantially equal annual installments beginning on November 1, 2024, subject to the Reporting Person's continued service to the Issuer through each such vesting date.
