1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Class A common stock.

2. The restricted stock units vest as follows: 1/3 of the restricted stock units vest on August 17, 2023, and 1/12 of the restricted stock units vest quarterly thereafter, subject to the Reporting Person continued service with the Issuer on the applicable vesting dates.
