Explanation of Responses:

1. These options were issued to Mr. Liscouski on December 27, 2023, pursuant to the Quantum Computing Inc. 2022 Equity and Incentive Plan and according to the terms of the employment agreement by and between Mr. Liscouski and the Issuer. These options vest over a three year period, with (i) 69,446 of the options vested on the date of the grant, December 27, 2023, and (ii) the remainder of the options vesting in equal monthly installments of 2,778 shares for twenty eight (28) months starting the month after issuance and (iii) 2,770 shares in the last month, subject to Mr. Liscouski's continuing services for the Company in the capacity in which the grant was received on each applicable vesting date.
