1. The price reported above is the weighted average transaction price. The range of prices for such transactions is $0.79 to $0.81. Upon request by the Commission staff, the reporting person will provide full information regarding the number of shares purchased at each separate price.

2. Includes 2,625,000 shares held by Ironbound Partners Fund, LLC, an affiliate of the reporting person. Notwithstanding his dispositive and voting control over such shares, the reporting person disclaims beneficial ownership of the shares of our common stock held by Ironbound Partners Fund, LLC, except to the extent of his proportionate pecuniary interest therein.
