Explanation of Responses:

1. Represents the vesting of Performance Share Units ("PSUs") following the satisfaction of performance criteria on February 23, 2023. Each PSU represents the right to receive the economic equivalent of one share of Company common stock in cash upon settlement. The PSUs shall be settled at a future date in accordance with the applicable award agreement.
