Explanation of Responses:

1. The Class A Ordinary Shares (the "Shares") of the Issuer reported herein are held by SZOP Multistrat LP (the "Fund"). SZOP Multistrat Management LLC (the "Manager") serves as the investment manager to the Fund. Antonio Ruiz-Gimenez and Kerry Propper serve as managing members of the Manager.

2. This report shall not be deemed an admission that the Fund, Manager, or any other person is the beneficial owner of the securities reported herein for purposes of Section 16 of the Securities Exchange Act of 1934 ("Exchange Act"), as amended, or for any other purpose. Each of the reporting persons herein disclaims beneficial ownership of the Shares reported herein except to the extent of the reporting person's pecuniary interest therein.

Remarks:

The reporting persons are voluntarily filing this Form 4 to memorialize that they are no longer a 10% owner and as such are no longer subject to Section 16 of the Exchange Act with respect to the Shares including reporting any transactions on Form 4 or Form 5. For the sake of clarity, the Fund has not transacted in the Issuer since the filing of its Form 3. The Issuer disclosed in its Form 10-Q that as of August 19, 2024, there were 5,167,693 Shares outstanding. As such, the reporting persons herein no longer may be deemed to beneficially own more than 10% of the Shares.
