Explanation of Responses:

1. The options to purchase shares of Clarus Corporation's (the "Issuer") common stock, $0.0001 par value per share ("Common Stock"), were granted under the Issuer's 2015 Stock Incentive Plan. Options to purchase 500,000 shares of the Issuer's Common Stock will vest and become exercisable in two equal consecutive annual tranches of 250,000 on each of March 11, 2025, and March 11, 2026.
