Explanation of Responses:

1. These shares were transferred from the HSJ 2020 IDT Annuity Trust to the HSJ 2019 Remainder Trust.

2. Consists of 220,995 shares of fully vested Restricted Stock and 883,977 shares of unvested Restricted Stock that vests as follows: 220,995 shares on April 5, 2024, and 220,994 shares on each of April 5, 2025, April 5, 2026 and April 5, 2027.
