1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock or a cash amount equal to the number of shares received as of the vesting date.

2. These restricted stock units vest in three equal installments on each of the next three anniversaries of the grant date. This grant was awarded in connection with the payment of annual executive compensation for the Reporting Person's equity award covering fiscal 2023 and 2024.
