Explanation of Responses:

1. The restricted share units ("RSUs") vest on August 3, 2023 (or if the Shares (as defined below) do not trade on that date, then as of the first trading date thereafter) ("Vesting Date").

2. Each RSU represents a contingent right to receive one share of Beneficial Interest, par value $1.00 per share (a "Share"), of the issuer on the Vesting Date. The RSUs may be settled in Shares or in cash in the discretion of the issuer's Compensation Committee.

3. Grant of RSUs for no consideration.
