Explanation of Responses:

1. Represents shares withheld by the Issuer to satisfy a tax obligation realized by the Reporting Person upon the vesting and settlement of performance stock units (PSU).

2. Represents shares withheld by the Issuer to satisfy a tax obligation realized by the Reporting Person upon the vesting and settlement of restricted stock units (RSU).

3. Includes 306,748 RSUs. Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock upon settlement. The RSUs vest over three years with 16 and 2/3% after 6 months, then 8 and 1/3% in equal quarterly installments thereafter, subject to continuous service through each such vesting dates.
