1. Consists of an option to purchase shares of common stock granted to John Alam, M.D., the Reporting Person's spouse and the Chief Executive Officer of the Issuer. The Reporting Person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.

2. The shares of common stock underlying the award will vest in 36 equal (or as near equal as possible) monthly installments on the last calendar day of each month over a 36-month period commencing January 31, 2024.
