Explanation of Responses:

1. Represents performance-based restricted stock units ("PSUs") granted to the reporting person as a material inducement to his acceptance of employment as Chief Executive Officer. Each PSU represents a contingent right to receive one share of the Issuer's common stock (at a payout ranging from 0 to 200%) based on the Issuer's stock price performance during the period between the grant date and the last day of the Issuer's fiscal 2026, subject to continued employment.
