Explanation of Responses:

1. Represents performance-based restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the Company's stock.

2. Conversion of restricted stock units to the Company's common stock will occur at the fourth anniversary of the grant date assuming the reporting person is still employed by the Company and if the shares of the Company's common stock have achieved certain stock price targets over the course of the performance period.
