Explanation of Responses:

1. The stock options vest as to 25% of the underlying shares on October 15, 2024 and thereafter in substantially equal monthly installments such that the stock options shall be fully vested on the fourth anniversary of the grant date, subject to the Reporting Person's continued service to the Issuer through the applicable vesting dates.
