Explanation of Responses:

1. The Class B Ordinary Shares were convertible into Class A Ordinary Shares of the Issuer on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, and had no expiration date.

2. In connection with the Issuer's business combination with Bird Rides, Inc., each Class B Ordinary Share of the Issuer was exchanged on a one-for-one basis for shares of Class B common stock of Bird Global, Inc., the combined company.

3. NGP Switchback II, LLC is the record holder of the shares reported herein. Mr. Gieselman is a manager of NGP Switchback II, LLC. As such, Mr. Gieselman may be deemed to have or share beneficial ownership of the ordinary shares held directly by NGP Switchback II, LLC.
