Explanation of Responses:

1. 2019 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. Forfeiture of restricted stock units under the SPX FLOW Stock Compensation Plan.

3. The restricted stock units vest in three equal annual installments beginning on February 28, 2020.

4. The restricted stock units vest in a single installment on February 28, 2022.

5. 2020 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

6. The restricted stock units vest in three equal annual installments beginning on February 27, 2021.

7. 2021 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

8. The restricted stock units vest in three equal annual installments beginning on February 24, 2022.
