Explanation of Responses:

1. Includes shares of restricted stock which vest in four equal installments, subject the achievement of certain stock price targets during the three-year performance period beginning January 1, 2023 and ending December 31, 2025.

2. Restricted stock units vest at a rate of 1/3 per year commencing August 25, 2024.

3. Restricted stock units convert into common stock or cash upon vesting at the election of the Issuer.

4. Restricted stock units vest at a rate of 1/3 per year commencing January 2, 2025.
